Documents Required for the Incorporation of a Company:
– ID of all the shareholders or stakeholders
– Document regarding the Regime of Participation in Acquired Property
– In the event of intervening in a company, current powers of attorney or appointments of directors must be present.
– Company name certificate of the Central Companies Registry
– Bank certificate of the deposit of the capital in the account opened under the name of the incorporated company It must include the amount, the details of the shareholder who contributes and the concept of payment of the capital.
– Provisional Spanish Tax Code of the incorporated company. Failing to have it, clients can apply for it directly in our Notary Office.
– Articles of association of the company
– People who will hold a governing position within the company.
Company Dissolutions.
At Quintanilla Montero’s Notary Office, we conduct all the procedures needed for the dissolution or termination of a company with every guarantee.
A company’s dissolution is executed by public deed and its subsequent entry in the Companies Registry corresponding to the registered office of the company. Lastly, the procedure ends with its publication in the Official Gazette of the Spanish Companies Registry.
